Zignsec ilmoitti toteuttaneensa ”Compeleted” Webshield kaupan 2.7, tämä tarkoittaa, että välittömästi tästä eteenpäin Webshield tullaan konsolidoimaan Zignsecin lukuihin. Täten, Webshieldin Q3 tulos tulee olemaan lähes kokonaan konsolidoitu Zignsegin Q3 lukuihin.

Tämä onkin mielenkiintoinen yhdistelmä, kun ottaa huomioon että osake on tippunut 30% ATH lukemista elokuun alusta. Kun tämä (tai viimeistään seuraava) osari tulee, on kvartaalikasvut satoja prosentteja. Webshield ei ollut mikään pikkufirma. Tässä kaupassahan kävi vähän niin että pieni kala nielaisi isomman. Jes, ymmärsin että BasisID (75% = 300K osaketta) ja Webshield (25% = 4M osaketta) lock-upit raennut lokakuussa. Seuraavat ja toistaiseksi viimeiset vapautumiset 02/2022 ja 01/2023.
Tänään UBS, Carnigie ja Goldman myi nettona melkein 200K osaketta ja kk-tasolla sitten paljon enemmän. Vaikka tähdet ja kuu tuntuisi olevan nyt oikeassa asennossa, yritys suorittaa ja positiivista raporttia tulee ovista ja ikkunoista, niin onhan tuolla myyntipuolella näköjään tuota firepoweria. Toivotaan että sieltä loppuu laput kesken ja pidemmässä juoksussa sillä nyt ei ole mitään väliä, eli pitää nauttia tankkauspaikoista.
Q3 raportista vielä - hyvä jos Webshield on täysillä mukana… mutta kuten tuolla aiemmin kirjoitin niin viimeiset 4-raporttia ollut enemmän tai vähemmän pettymyksiä vs. markkinan odotukset eli vähän pessimistisin ajatuksin, vaikka kaiken järjen mukaan sieltä pitäisi tulla kunnon jytky sekä liikevaihdon, että supistuneen tappion osalta.

Tuli muuten Dagensindustrin sivuilta bongattua, että suurina omistajina Zignsecillä 1,70% omistuksella on Marko Ahtialansaari, Suomen Osakesäästäjien hallituksen jäsen. Tämän lisäksi samalla prosentuaalisella omistusmäärällä löytyy Pontus Bonnier, joka kohtuullisen tunnettu ruotsalainen Bonnierin sukuun kuuluva henkilö. Huom. Tämä data toukokuun lopulta.

Vähän kyllä alitti omat ennusteet. Pitää hieman tarkastella lisää ja kiva olisi myös kuulla miten nuo Trustly, Deloitte ja Grant thornton diilit tulevat vaikuttamaan tulevaisuudessa. Näitä on niin vaikea arvioida, kun ei ole avattu diilien merkitystä.

ZignSec completed the acquisition of Web Shield. Tuon mukaan on hoidettu loppuun. Varmaan toimari tarkoittaa osiossaan, että yhdistyminen pystyttiin/voitiin viemään loppuun kvartaalin aikana. Niin tuon lukisin.

Aiemmin samankaltaisissa tilanteissa toimari käyttänyt tätä “Could” termiä. Hieman heikosti menee englannin kielioppiin se, mutta kyllä sillä meinataan, että kvartaalin aikana hankinta hoidettiin lopppuun.

Ainakin kun vertailee 2021 Q2 ja Q3 tuloksia, niin tuo kasvu nätisti skaalautuu käyttökatteeseen. Luvuista olisi kiva tietää, että minkälaisilla marginaaleilla WebShield business pyörii.

Onko kerrottu, mistä päivästä lähtien WebShield on konsolidoitu lukuihin? Ei omaan silmään ole osunut. Raportin lv-kehityksestä ja muusta on vaikea sanoa mitään ilman sitä tietoa. Kauppa saatiin maaliin heinäkuun 2. pv, mutta onko konsolidointi siitä päivästä, elokuun alusta vai jotain muuta?
Joka tapauksessa Zignsecissä on niin paljon muuttuvia osia, että yhden kvartaalin ennusteet ovat mielestäni ennemmin arvauksia. Ei tässä ainakaan minulle suurempia yllätyksiä tullut, hyvään tai huonoon suuntaan.

Ensivaikutelma / ajatuksia:
- suht koht neutraali raportti, tietysti olisi ollut kiva jos odotukset olisi ylitetty. Net sales omissa odotuksissa, tappiota tuli vielä hieman enemmän kuin mitä odotin, mutta tappio ei enää kasvanut vs. Q2, eli tässä ensimmäiset merkit positiiviseksi kääntymisestä?
- gross profit positivinen kehitys jatkuu (Q4 2020 67%, Q1 2021 67%, Q2 2021 70%, Q3 2021 73%)
- “long sales cycle” mainittu, eli uudet isot sopparit eivät tod. näk vielä ehtineet tuloutua Q3:lle, lupaa hyvää Q4 ja siitä eteenpäin
Tästä on hyvä jatkaa kohti Q4 sillä odotuksella että isoista diileistä alkaa oikeasti tuloutua liikevaihtoa, kasvu kiihtyy ja alkaa valumaan suoraan EBITDA tasolle asti.

Kurssiin ladatut odotukset oli kyllä mielestäni todella alhaiset ja siihen suhteutettuna kurssireaktio toistaiseksi ”väärä” 
Näen tässä kyllä edellytykset vahvalle liiketoiminnan kehitykselle ja sitä myötä erittäin vahvalle kurssikehitykselle seuraavien 12 kk aikana.
Ostelin jo aiemmin aika ison position, mistä aion pitää kyllä kiinni. Ehkä jopa lisäyksiä jos kurssi jatkaa valumista.

Ehkäpä pikemmin yrityksen ja erehdyksen kautta opittu vuosien saatossa. Tässä casessa on mielestäni paljon yhtäläisyyksiä Intervacciin. Laski viime vuoden lopulla 30sek —> 20sek ja olin ihan innoissani kun sain ostaa hyvää yhtiötä edullisesti. Olen myynyt Ivaccia tämän vuoden aikana keskimäärin 80sekin hintaan 2/3 osaa ostamistani osakkeista.
Ajatuksena tehdä sama Zignsecilla

Tämä on kyllä tosiaan erittäin mielenkiintoinen yhtiö. Koko ajan uutisten mukaan jää fiilis, että tehdään oikeita asioita ja merkittäviä asiakkaita tuntuisi tulevan. Lukemat eivät vielä päätä huimaa, mutta ei silti huoleta. Helposti tässä jää kyllä myös loukkuun yhtiöstä joka prosentuaalisesti kasvaa kovaa, mutta miten paljon voittoa ja kasvua absoluuttisina numeroina lopulta saadaan.
Mitä 2022 tuo tullessaan?
- Yhtenäinen portaali (webshield, zignsec, wyzer), tämän menestyminen on vielä mysteeri
- Kassan riittävyys? Nyt on varmaan merkitty tuohon webshield hankintaan liittyviä kuluja, mutta kassa palaa kuitenkin aika nopeasti.
- Ebitda positiiviseksi? Liikevaihdoin voimakas kasvu?
Eli vielä tässä ollaan samassa asemassa kuin vuosi sitten, paljon auki kaikkea ja joutuu vain spekuloimaan 
. Yhtiön viestintä on ehkä hieman parantunut, mielenkiintoista olisi kyllä silti lisää kuulla toimitusjohtajan mietteitä.
